These Terms & Conditions ("Terms") govern your use of the Bred website, app, online platform, memberships, programs, content, events and other services provided by Bred Wellness Pty Ltd (ABN 25 674 665 564) ("Bred", "we", "us" or "our").

By creating an account, purchasing a membership or product, attending a Bred event, or using our website, app or services, you agree to these Terms.

If you do not agree to these Terms, please do not use Bred's services.

1. About

Bred Bred is a wellness brand offering breathwork, movement and related wellbeing content and experiences through digital and in-person services.

The Bred Method combines breathwork and movement and is designed to support wellbeing, presence, grounding and connection.

2. Eligibility

Bred's services are available to people of all ages, subject to any age requirements that may apply to a particular service, event or platform feature.

If you are under 18, you should have the permission of a parent or legal guardian before purchasing or using Bred's services.

You must provide accurate and complete information when creating an account or purchasing a Bred service.

3. Memberships and subscriptions

Bred offers membership options which may include monthly and annual subscriptions.

The price, billing frequency and inclusions of each membership will be displayed at the time of purchase.

Unless otherwise stated, memberships automatically renew at the end of each billing period.

By purchasing a recurring membership, you authorise the applicable payment provider to charge the payment method associated with your account for each renewal.

You may cancel your membership at any time through the applicable cancellation process provided by Bred or its platform.

When you cancel, your membership will not renew for the next billing period. You will generally retain access to the membership until the end of your current paid billing period.

4. Prices and payments

All prices will be displayed before you complete a purchase.

Unless otherwise stated, prices are in Australian dollars and include GST where applicable.

Payments for Bred memberships and other services may be processed through Stripe.

You agree to provide accurate billing information and ensure that your payment method remains valid.

If a payment fails, Bred or its payment provider may attempt to process the payment again or restrict access to paid services until the outstanding amount is resolved.

5. Cancellations and refunds

You may cancel your Bred membership at any time.

Cancelling your membership will prevent it from automatically renewing, and you will generally retain access to your membership until the end of your current paid billing period.

Membership payments are generally non-refundable for the unused portion of a billing period, except where a refund is required under the Australian Consumer Law or where Bred agrees otherwise.

Nothing in these Terms excludes, restricts or modifies any rights or remedies available to you under the Australian Consumer Law

6. Digital content

Bred provides digital content including breathwork, movement, educational and wellness materials.

Your membership gives you a personal, limited and non-transferable right to access the content for the duration of your membership.

Unless we expressly permit otherwise, you must not:

● copy or reproduce Bred content;
● download or distribute content outside functionality provided by Bred;
● share your account or login details;
● record or redistribute Bred classes or programs;
● sell, sublicense or commercially exploit Bred content; or
● use Bred content to create or provide a competing service.

7. Intellectual property

All content provided by Bred, including:
● the Bred name and branding;
● the Bred Method;
● videos;
● photographs;
● written content;
● graphics;
● audio;
● programs;
● courses;
● website content; and
● other materials

are owned by or licensed to Bred and are protected by applicable intellectual property laws.

Your use of Bred does not transfer ownership of any intellectual property to you.

8. Breathwork and movement

Bred's services are intended to support general wellness and wellbeing.

Bred's content is not medical advice, medical treatment, psychological treatment, diagnosis or a substitute for professional medical or healthcare advice.

You are responsible for considering whether participation in breathwork, movement or other physical activity is appropriate for you.

If you have a medical condition, injury, are pregnant, have concerns about your physical or mental wellbeing, or are unsure whether a particular activity is suitable for you, you should seek advice from an appropriately qualified healthcare professional before participating.

If you experience pain, dizziness, discomfort, shortness of breath or any other concerning symptoms while participating in a Bred session, you should stop and seek appropriate assistance.

9. Personal responsibility

Physical activity and breathwork may involve inherent risks.

You are responsible for participating at a level appropriate to your own abilities, experience and circumstances.

Where Bred provides modifications, instructions or general guidance, these are intended as general information and do not constitute personalised medical or healthcare advice.

10. In-person events

Additional terms may apply to specific Bred events, classes or experiences.

Event-specific information, including location, timing, ticketing, cancellation and refund conditions, will be provided at the time of booking.

If there is an inconsistency between these Terms and specific event terms, the specific event terms will apply to the extent of that inconsistency.

11. Accounts

You are responsible for:

● maintaining the confidentiality of your account details;
● keeping your password secure;
● ensuring the information associated with your account is accurate; and
● notifying Bred if you believe your account has been accessed without authorisation.

You must not allow another person to use your membership or account unless Bred expressly permits it.

12. Community and acceptable use

Bred may provide community features that allow members to create profiles, communicate, comment, post content or interact with other members.

You agree to use these features respectfully and lawfully.

You must not:
● harass, threaten or abuse another person;
● post unlawful, defamatory or seriously offensive material;
● impersonate another person;
● share another person's private information without permission;
● upload malicious software;
● attempt to gain unauthorised access to Bred systems;
● use the community for unlawful purposes; or
● use the community for commercial solicitation without Bred's permission.

You are responsible for content you choose to post or share through Bred's community features.

You should not share personal, private or sensitive information about yourself or another person through community features.

Bred may moderate, remove or restrict access to community content where reasonably necessary to maintain a safe and respectful community or to enforce these Terms.

13. Availability and changes

We aim to keep Bred's website, app and services available and operating as intended.

However, we may occasionally need to:

● perform maintenance;
● update or modify content;
● change features;
● temporarily suspend services;
● discontinue particular content or services; or
● make changes required by law or by our third-party service providers.

Where appropriate, we will provide reasonable notice of material changes.

If a material change substantially affects a paid service you have already purchased, we will take reasonable steps to communicate the change and any options available to you, subject to applicable law.

14. Third-party services

Bred may rely on third-party platforms and services to provide certain functionality, including payment processing, hosting, app functionality, analytics and communications.

These services may include Uscreen and Stripe.

Third-party services may have their own terms and privacy policies.

Bred is not responsible for matters outside our reasonable control arising from a third-party service, subject always to your rights under applicable law.

15. Suspension or termination

Bred may suspend or terminate access to an account where reasonably necessary, including where a user:

● seriously or repeatedly breaches these Terms;
● engages in unlawful activity;
● misuses Bred's content or systems;
● shares an account in breach of these Terms; or
● poses a genuine risk to the safety or rights of other users or Bred.

Where appropriate, Bred will provide notice and an opportunity to resolve the issue.

If Bred terminates a paid membership for reasons other than your breach of these Terms, Bred will provide any refund or other remedy required by applicable law.

Termination does not affect rights or obligations that accrued before termination.

16. Australian Consumer Law

Nothing in these Terms is intended to exclude, restrict or modify any rights or remedies that cannot legally be excluded under the Australian Consumer Law or other applicable legislation.

Where a Bred service does not meet an applicable consumer guarantee, you may be entitled to a remedy such as a refund, replacement, re-performance or compensation, depending on the circumstances.

Bred's policies and these Terms operate alongside, and not instead of, those statutory rights.

17. Liability

To the maximum extent permitted by law, Bred will not be responsible for loss or damage arising from your use of our services where that loss or damage results from circumstances outside our reasonable control.

Nothing in these Terms excludes, restricts or modifies any liability, right or remedy that cannot legally be excluded, restricted or modified, including rights and remedies available to consumers under the Australian Consumer Law.

18. Indemnity

To the extent permitted by law, you agree to be responsible for losses reasonably incurred by Bred as a result of your unlawful use of our services or your material breach of these Terms.

This clause does not apply to the extent that doing so would exclude, restrict or modify rights that cannot legally be excluded, restricted or modified.

19. Privacy

Your use of Bred is also subject to our Privacy Policy, which explains how we collect, use, store and disclose personal information.

Our Privacy Policy is available on the Bred website.

20. Changes to these Terms

We may update these Terms from time to time to reflect changes to our business, services, technology or legal obligations.

Where changes are material, we will take reasonable steps to notify members where appropriate.

The updated Terms will be published on the Bred website with the updated date.

Where applicable, the Terms that applied when you purchased a particular service will continue to govern that purchase, subject to any changes that you agree to or that are otherwise permitted by law.

21. Governing law

These Terms are governed by the laws of New South Wales, Australia.

You agree that courts exercising jurisdiction in New South Wales will have jurisdiction in relation to matters arising under these Terms, subject to any applicable consumer rights.
